Miaobo User Service Agreement
Welcome to Miaobo and related services! Miaobo refers to the client application lawfully owned and operated by Beijing Lingxi Shenzhi Technology Co., Ltd. and its affiliates (hereinafter referred to as "we" or "us") under the name "Miaobo" to provide services to users. Within the product, we provide users (also referred to as "you") with services including AI digital human live streaming, real-scene live streaming, clone live streaming, custom digital human avatars, intelligent live assistant, script generation, live room setup, intelligent Q&A, video generation, and multi-platform live streaming support.
1. Introduction
1.1 The Miaobo User Service Agreement (hereinafter referred to as "this Agreement") is entered into between us and you regarding your download, installation, registration, login, and use (collectively, "use") of Miaobo services, and sets forth the rights and obligations of both parties. This Agreement applies to Miaobo services, including upgrades and updates to the various services and products you use during the term of this Agreement. All other related agreements, activity rules, announcements, notices, in-app messages, and other documents that we have published, may publish in the future, or modify from time to time in connection with Miaobo services (collectively, "Platform Rules") constitute an integral and inseparable part of this Agreement and have the same legal effect as this Agreement.
1.2 Before you begin using Miaobo services, please carefully read and fully understand the contents of this service agreement, especially provisions relating to exemption or limitation of liability, licensing and use of information, and consent to activate and use special standalone services. We will highlight important contents such as exemption or limitation of liability provisions in bold to draw your attention, and you should read them carefully.
1.3 If you are a minor under the age of 18, we recommend that you ask your guardian to carefully read this Agreement and use our products and/or services or provide information to us only with your guardian's consent.
1.4 When you use Miaobo services, you are deemed to have read and fully understood this Agreement in detail and to agree to be bound by this Agreement. If you do not agree to this Agreement or any of its provisions, you may stop using our services.
1.5 We may revise this Agreement based on changes in applicable laws and regulations, our business conditions, business strategy adjustments, product and service upgrades, and other reasons. Once updated provisions are published, they shall effectively replace the original provisions, and you may review the latest version of this Agreement at any time while using this product and services.
1.6 If you use products and/or services provided by third parties within our services, in addition to complying with this Agreement, you shall also comply with the third party's terms of service.
2. Service Description
2.1 Miaobo provides you with services including, but not limited to, the following:
(1) AI digital human live streaming services: You may use digital human avatars provided by us for live streaming, including public-library digital humans and custom exclusive digital human avatars.
(2) Real-scene live streaming: You may conduct live streaming using real scenes, with support for mobile and PC broadcasting, and may choose to add ambient sound and other effects.
(3) Clone live streaming: You may conduct clone live streaming based on existing live streaming content, with support for multi-platform clone live streaming.
(4) Intelligent live assistant services: AI assistants can help you with live interaction, product presentation, Q&A, and other tasks.
(5) Custom digital human avatars: You may customize exclusive digital human avatars according to your needs. In such cases, you need to upload source materials (including but not limited to videos of persons) on the Miaobo platform, and the materials must meet platform requirements for format, dimensions, and other specifications. You must also ensure that the uploaded materials have obtained portrait authorization from the original person and that you have the right to entrust us to provide digitalization services for the relevant person.
(6) Script generation: You may create scripts based on your own products or service needs. The Miaobo platform will optimize content based on your input, and after your confirmation, the content will be used as a live streaming script.
(7) Live room decoration: You may choose to decorate live rooms using Miaobo public materials or your own materials. If you choose to decorate with your own materials, you need to upload source materials on the Miaobo platform, and the materials must meet platform requirements for format, dimensions, and other production specifications.
(8) Intelligent Q&A configuration: You may configure intelligent Q&A according to live streaming needs, manually add Q&A content, or choose to have intelligent customer service generate Q&A content based on your product detail page content or script content.
(9) Multi-platform live streaming support: Supports live streaming on platforms including Douyin, Taobao, Meituan, Kuaishou, WeChat Channels, JD.com, Pinduoduo, Xiaohongshu, TikTok, Shopee, Alibaba International, Ctrip, 1688, and Vipshop.
(10) Video export and creation: You may export live streaming content from live rooms in video form and create videos.
(11) Cloud PC/cloud phone services: Provides cloud computing resources to support high-performance live streaming needs.
(12) Hardware support services: Provides support and services for hardware devices such as intelligent gimbals and customized mobile phones.
2.2 The ways in which you may use Miaobo and its services include accessing the official website and downloading the client application. On third-party platforms or applications authorized or partnered with us, you may also use Miaobo services through software development kits (SDKs), application programming interfaces (APIs), or other means provided by us. If you obtain products or services through channels other than those listed above, we cannot guarantee that such versions are official versions, nor can we ensure that services under such versions will function properly. If you suffer losses due to use of unofficial versions of products or services, we shall not bear any liability for compensation or indemnification.
2.3 To use this service, you need to visit the website: [https://miaoboai.com] or download the official client application. For these services and/or products, we grant you a personal, non-transferable, non-exclusive, revocable, non-commercial license to lawfully use this product and services. You may use these products and services only for the purpose of accessing or using this service. Without our prior written authorization and permission, you may not use Miaobo services in any unauthorized form, including but not limited to adaptation, copying, distribution, crawling, vertical search, mirroring, or trading, nor may you engage in commercial sales, copying, distribution, or other commercial activities.
2.4 All other rights not expressly granted under this Agreement remain reserved by us, and you must obtain our written permission when exercising such rights. Our failure to exercise any of the foregoing rights does not constitute a waiver of such rights.
2.5 To improve user experience, or based on overall service operations, platform security, and compliance needs, we may update or change this product or service from time to time, including but not limited to modifying, upgrading, suspending, or terminating related services, providing new services, or replacing software packages. You may choose whether to update as needed. If you choose not to update, certain functions of this product may be limited or unavailable. To help you better use this product, we may also remind you to update at appropriate times. If you do not wish to use the updated product, you may also stop using it.
2.6 You may publish completed videos with one click to your linked platform accounts and distribute them through account distribution channels. You may also download completed videos and publish or otherwise use them on other platforms.
2.7 Source Materials: content provided and uploaded by you for customizing virtual digital humans or digital human voices on the Miaobo platform, including but not limited to videos and audio of persons.
2.8 Design Outputs: final deliverables created by you on the Miaobo platform and downloaded/shared upon completion, including but not limited to virtual digital humans and videos, images, text, digital human live replay videos, and other content containing virtual digital humans and/or virtual digital human elements.
2.9 Public Resource Library: virtual digital humans, voices, music, images, and other materials provided by us on the Miaobo platform for your use.
2.10 Preview and Confirmation: Operations you perform on the Miaobo platform under this clause may be previewed, and you have the right to decide whether to use them. You understand and agree that you should carefully confirm preview content, and all Design Outputs used after your confirmation shall be deemed accepted by you in terms of content and effect.
3. User Accounts
3.1 To use Miaobo services, you must register and log in to an account. During account registration, you shall agree to this Agreement, the Miaobo Privacy Policy, and other related terms, and complete the full registration process according to the prompts on the page. After successful registration, we will provide you with a user account and corresponding password, which you are responsible for safeguarding. You may also log in using SMS verification codes sent to your mobile phone number; please keep your verification codes secure. You shall bear legal responsibility for all activities and events conducted under your user account.
3.2 A Miaobo account is your credential for logging in to and using Miaobo services. Collecting mobile phone numbers is necessary information to fulfill national laws and regulations on online real-name registration (real identity authentication). If you refuse to provide a mobile phone number for registration or login, we may be unable to provide related services to you.
3.3 When registering and using a Miaobo account, you shall provide true, accurate, lawful, and valid identity documentation and necessary information, and maintain the truthfulness and validity of the information you provide and update it in a timely manner. Your Miaobo account is for your personal use only. You may not gift, lend, rent, transfer, sell, or otherwise permit others to use the account in any form.
3.4 If you already have a Miaobo account, you may use related Miaobo functions. If you conduct live streaming, you must upgrade your account as required and activate related live streaming capabilities.
3.5 You may use certain basic functions of Miaobo without registering or logging in to a Miaobo account, but you will not be able to experience all Miaobo functions. Before using certain functions and/or standalone services, such as live streaming and digital human generation, you need to register or log in to a Miaobo account and complete real identity authentication as required by applicable national laws and regulations.
3.6 You have the right to set Miaobo nickname, avatar, bio, and other account information on your own. Without the express written permission of others, you may not open a Miaobo account in another person's name, nor impersonate another person's name, title, trade name, trademark, avatar, or other identifiers as account information. During use of your account, you may not take any action that misleads the public into confusing the account owner, especially by confusing the account with institutions or individuals widely known to the public, nor may you in any way infringe others' personality rights, property rights, or other lawful rights and interests. We have the right to review account information you submit. If the account information you submit does not comply with laws, administrative regulations, government rules, or this Agreement, we have the right to take remedial measures prescribed by laws and regulations, including warnings, orders to correct within a specified period, reset of account information, restriction of account functions, suspension of use, account closure, and prohibition of re-registration.
3.7 Your Miaobo account is for your personal use only. You may not gift, lend, rent, transfer, sell, or otherwise permit others to use the account in any form. If we have reasonable grounds to believe that the user is not the account registrant, we may, to protect account security, suspend or terminate provision of services to that account.
3.8 When registering and using a Miaobo account, you shall provide true, accurate, lawful, and valid identity documentation and necessary information. When registration information you submit changes (for example, if you change your mobile phone number), you shall promptly update the relevant information. If the information you submit is inaccurate, untrue, unlawful, or we have reason to believe such information is questionable, we have the right to require you to correct or supplement it, or refuse to provide related services to you. However, you understand and agree that for security and identity verification reasons (such as account recovery appeal services), you may be unable to modify initial registration information and other verification information.
3.9 You shall maintain the security and confidentiality of your Miaobo account on your own. You shall bear legal responsibility for actions under your Miaobo account, including but not limited to any legal liability that may arise from any information publication, payment, or other operations you perform on Miaobo. If you lose your account, you may promptly apply to recover it through our appeal channels. You understand and acknowledge that we can only verify whether the verification information provided by the appellant matches system records and cannot verify whether the appellant is the true owner of the account. If your account is stolen due to improper safeguarding or other reasons attributable to you, the corresponding losses shall be borne by you. If you discover that others are using your Miaobo account without permission, or discover any other security vulnerability, please notify us immediately and take appropriate measures to protect your account security.
4. User Conduct
4.1 You acknowledge and undertake that, when using Miaobo, you shall respect privacy and ethics and pay attention to data security. You may not input or share any unauthorized personal information, confidential information (including but not limited to trade secrets), or other unauthorized types of information. You shall respect the lawful rights and interests of others and ensure that your input content is lawful and compliant and is owned by you or has been lawfully authorized. You may not input or share any unauthorized content or infringe others' copyrights, patent rights, trademark rights, portrait rights, name rights, voice rights, reputation rights, honor rights, or other rights and interests. You may not use Miaobo for illegal activities or publish unlawful content, nor use new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence to create, publish, or disseminate false news or information.
4.2 You may use Miaobo to create and publish videos, images, text, and other information content, and shall ensure that published information content complies with laws and regulations. If you publish information involving domestic or international current affairs, public policies, social events, or similar matters, you shall accurately indicate the source of the information.
4.3 As required by regulatory authorities, when you generate, create, publish, or disseminate non-real information generated or synthesized using new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence, or other information content that may cause public confusion or misidentification, we will add artificial intelligence-generated identification to generated content in accordance with the Measures for Identifying Artificial Intelligence-Generated Synthetic Content and other applicable laws and regulations, including adding explicit identification to generated content and adding implicit identification to file metadata of generated content through specific technical means. To protect our lawful interests and those of other users, you shall not use or attempt to use technical measures or other means to delete, tamper with, or conceal explicit or implicit identification that we have marked on AI-generated content. When you publish or disseminate non-real information created using new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence, or other information content that may cause public confusion or misidentification, you shall clearly identify it in a prominent manner. If you request that we provide content without explicit identification during generation, export, or download, please consciously disseminate and use such content in accordance with legal requirements. You shall add identification statements such as "Content generated by AI" on your own. Your use of such generated content and the consequences arising therefrom shall be your sole responsibility. At the same time, we will retain related logs for at least six months as required by applicable laws and regulations. Please understand and note that if you fail to add explicit identification to AI content as required by laws and regulations, resulting in public confusion or misidentification, all consequences and liabilities arising therefrom shall be borne by you alone.
4.4 You shall be responsible for your use of Miaobo services. You may not, directly or indirectly:
(1) Delete, conceal, or alter any patent, copyright, trademark, or other ownership notices displayed on or contained in Miaobo services;
(2) Interfere with or attempt to interfere with the normal operation of Miaobo services or any part or function of our website in any manner;
(3) Bypass, attempt to bypass, or claim the ability to bypass any content protection mechanism or Miaobo service data measurement tools;
(4) Use any registered or unregistered goods, service marks, company logos, URLs, or other marks originating from us in written or graphic form without our prior written consent;
(5) Without our written permission, obtain or use information or content of this service illegally on your own or by authorizing, permitting, or assisting others to do so;
(6) Without our written permission, directly or indirectly steal, monitor, copy, disseminate, display, mirror, upload, download, or use information or content in Miaobo in any manner (including but not limited to hotlinking, redundant theft, illegal scraping, simulated downloading, deep linking, fraudulent registration, etc.), or delete or alter rights management electronic information related to such information or content in any manner (including but not limited to hiding or modifying domain names, platform-specific identifiers, usernames, etc.);
(7) Edit, organize, or adapt information or content in Miaobo and display it on channels or platforms other than the source pages of Miaobo;
(8) Use technical means or special identification methods to modify, hijack, redirect, block, insert, pop up, or otherwise cause users to be unable to normally use Miaobo with respect to information or content in Miaobo;
(9) Use or disseminate information or content in Miaobo by hiding, deleting, or modifying Miaobo domain names, Miaobo identifiers, Miaobo user information, or similar means;
(10) Use this service in any form to infringe our commercial interests;
(11) Use this service in any manner that may adversely affect the normal operation of the Internet or mobile networks;
(12) Engage in any other illegal acquisition or use of information or content in Miaobo.
4.5 You may not use any plug-ins, external programs, systems, or third-party tools to interfere with, disrupt, modify, or otherwise affect the normal operation of Miaobo, including but not limited to using any automated programs, software, or similar tools to access Miaobo and collect or process information or content therein.
4.6 You may not engage in any conduct that endangers Miaobo system security, nor use Miaobo to engage in any conduct that endangers computer network security. Such conduct includes but is not limited to:
(1) Illegal intrusion into networks, interference with, disruption of, or modification of normal network functions, theft of network data, and other activities endangering network security;
(2) Providing programs or tools specifically intended for network intrusion, interference with normal network functions and protective measures, theft of network data, and other activities endangering network security;
(3) Providing technical support, advertising promotion, payment settlement, or other assistance to others who are known to engage in activities endangering network security;
(4) Using unauthorized data or accessing unauthorized servers or accounts;
(5) Entering public computer networks or others' computer systems without permission and deleting, modifying, or adding stored information;
(6) Without permission, attempting to probe, scan, test weaknesses of Miaobo systems or networks, or otherwise engaging in conduct that undermines network security;
(7) Attempting to interfere with or disrupt the normal operation of Miaobo systems or websites, intentionally spreading malicious programs or viruses, and other conduct that disrupts or interferes with normal network information services;
(8) Forging TCP/IP packet names or partial names;
(9) Reverse engineering, reverse assembling, compiling, or otherwise attempting to discover the source code of Miaobo;
(10) Maliciously registering Miaobo accounts, including but not limited to frequent or bulk account registration;
(11) Without permission, deleting, modifying, or adding data and applications stored, processed, or transmitted in computer information networks;
(12) Intentionally creating or spreading destructive programs such as computer viruses;
(13) Other conduct that may endanger Miaobo or other platforms' computer network security.
4.7 After obtaining our written permission, your sharing, forwarding, and other conduct with respect to information content of Miaobo services shall also comply with the following rules:
(1) You may not make any modification of any kind to the source web pages of this service, including but not limited to links to the homepage of this service, advertising system links, and other entry points, nor may you obstruct display of the source pages of this service in any form, including blocking, insertion, pop-ups, or similar interference;
(2) You shall adopt secure, effective, and strict measures to prevent information content of this service from being illegally obtained by third parties through any form, including but not limited to "spider" programs;
(3) You may not use relevant data content for purposes beyond the scope of our written permission, engage in any form of sales or commercial use, or disclose, provide, or permit third parties to use it in any manner.
4.8 Information Content Creation Standards
(1) Information content under this Agreement refers to any content you create, copy, publish, or disseminate during your use of this service, including but not limited to Miaobo account avatars, names, user descriptions, and other registration information and verification materials, or text, voice, images, videos, graphics, sent/replied/auto-replied messages and related linked pages, and other content generated through use of Miaobo services.
(2) You may not use Miaobo accounts or Miaobo services to create, copy, publish, or disseminate content that disrupts the normal operating order of this service, violates laws and regulations, or infringes the lawful rights and interests of other users or third parties. You may not use Miaobo services for any other unlawful purpose.
4.9 You understand and agree that your words and conduct on this platform must comply with applicable laws and regulations and this Agreement and the policies and rules of this service. You may not engage in any unlawful or improper activities, including but not limited to:
(1) Opposing the basic principles established by the Constitution;
(2) Endangering national security, leaking state secrets, subverting state power, or undermining national unity;
(3) Damaging national honor and interests;
(4) Distorting, vilifying, desecrating, or denying the deeds and spirit of heroes and martyrs, or infringing their names, portraits, reputations, or honors through insult, defamation, or other means;
(5) Promoting terrorism or extremism, or inciting the implementation of terrorist or extremist activities;
(6) Promoting ethnic hatred or discrimination and undermining ethnic unity;
(7) Undermining state religious policies and promoting cults or feudal superstition;
(8) Fabricating or spreading rumors or false information, disrupting economic and social order, and undermining social stability;
(9) Spreading or disseminating obscene, pornographic, gambling, violent, murderous, terroristic, or crime-inciting content;
(10) Insulting or defaming others, or infringing others' rights to reputation, privacy, portrait, intellectual property, or other lawful rights and interests;
(11) Commercial advertising that violates laws and regulations relating to Internet advertising;
(12) Other content prohibited by laws or administrative regulations.
4.10 You may not create, copy, publish, or disseminate content that is highly dangerous or harmful to the physical or mental health of performers or others, including but not limited to:
(1) Any content involving violence and/or self-harm;
(2) Any content that threatens life or health, uses dangerous instruments in performances, or uses performance methods that may endanger the personal and/or property safety of oneself or others;
(3) Encouraging or inducing others to participate in dangerous activities that may cause personal injury or death.
(4) You may not use portraits of digital humans in the public library or persons in Design Outputs in infringing, unlawful, or otherwise improper ways. Improper use includes but is not limited to: use in pornographic images or similar contexts; use to expressly or impliedly suggest that models participate in immoral or unlawful conduct; use to suggest that models suffer physical or mental weakness, illness, or similar conditions; use for political endorsement;
(5) Other conduct that is offensive or degrading to persons.
4.11 You acknowledge and understand that with respect to source materials provided by us (including but not limited to public-library digital human avatars and public-library voices), regardless of whether such source materials are charged to you, we have the right to take expired materials offline in accordance with authorization agreements with third parties and shall not bear any liability for breach of contract.
4.12 To promote the healthy development of Internet content, all your conduct in using Miaobo services shall comply with the bottom lines of laws and regulations, the socialist system, national interests, citizens' lawful rights and interests, social public order, moral standards, and information authenticity. You must be responsible for all conduct under your registered account, including any content you publish and any consequences arising therefrom. You shall make your own judgment regarding content in this service and bear all risks arising from use of content, including risks arising from reliance on the legality, correctness, completeness, or practicality of content. We cannot and will not be liable for any loss or damage arising from the foregoing risks.
4.13 In order to provide you with a high-quality creation platform, we have the right, based on reasonable judgment, to penalize conduct that violates applicable laws and regulations or this Agreement, take appropriate legal action against any user who violates laws and regulations, preserve relevant information and report to relevant authorities as required by laws and regulations, and users shall independently bear all legal liabilities arising therefrom.
4.14 When using this product/service, you shall independently bear the following risks beyond our control in Miaobo services, including but not limited to:
(1) Risks such as loss or leakage of personal information that may be caused by force majeure factors;
(2) You must choose a product/service version that matches your terminal device; otherwise, problems may arise due to mismatch between the product/service and the terminal device model;
(3) When you use this product/service to access third-party websites, risks that may arise from third-party websites and related content shall be borne by you;
(4) Risks and liabilities that may arise because content you publish is forwarded or shared by others;
(5) Risks such as login failure, incomplete data synchronization, and slow page loading caused by unstable wireless network signals, limited wireless network bandwidth, and similar reasons.
(6) You acknowledge and confirm that we make no guarantee as to the accuracy, completeness, or functionality of content generated by the services you are currently experiencing, and such content does not represent our attitude or views. Our services are derived from information accumulated from sources permitted by laws and regulations, including but not limited to the public Internet, and have undergone continuous automatic and manual sensitive data filtering, but we cannot exclude the possibility that some information may be defective, unreasonable, or offensive. If you encounter such situations, we welcome and appreciate your reporting through the methods provided on this platform at any time.
4.15 Without our authorization, any public library resources you obtain through the Miaobo platform and any Design Outputs produced using such resources are limited to use on our platform or third-party platforms integrated with Miaobo services. You may not use the foregoing content in any other scenarios or authorize third parties to use it.
4.16 You acknowledge and understand that different platforms have different policies regarding AI live streaming. When you go live, you must agree to and comply with third-party platform rules. We serve only as a technical service provider offering AI live streaming visuals to you. Any liability arising from your conduct that violates third-party platform rules is unrelated to us.
4.17 If we have reasonable grounds to believe that your conduct violates or may violate the foregoing provisions, or if you engage in other conduct that adversely affects Miaobo information and content or damages Miaobo users' rights and interests, we have the right to take action, including terminating services to you without prior notice and pursuing legal liability against relevant parties in accordance with law.
4.18 We have the right to establish platform operation and management systems in accordance with laws and applicable regulations, and have the right to supervise, remind, and inspect your live streaming activities. If we discover conduct that violates applicable laws and regulations (including but not limited to providing false personal information or publishing content prohibited by law) or violates this Agreement, we may, depending on circumstances, take remedial measures including but not limited to warnings, refusal to publish, suspension and/or interruption of publication, blocking, closing live streams, restricting account functions, closing accounts, and related rights. We reserve the right to pursue liability against live streaming service users. If your conduct causes losses to us, in addition to returning benefits obtained from live streaming (if any), you shall compensate us for all losses suffered, including but not limited to notarization fees, appraisal fees, travel expenses, attorney fees, litigation fees, and other reasonable expenses. For conduct suspected of violating laws and regulations or suspected criminal conduct, this platform will preserve relevant records and report to relevant competent authorities and cooperate with investigations as required by law.
5. Membership Services
5.1 Nature of membership services: Miaobo membership services are value-added services we provide on top of basic services. Members may enjoy more functions, higher permissions, and exclusive benefits. Membership services are paid services, and specific benefits are subject to what is displayed on the official Miaobo app.
5.2 Procedure for becoming a member: Before becoming a Miaobo member, you must first register as a Miaobo user with true and accurate information. The content and personal information you provide must be true and valid; otherwise, Miaobo has the right to reject your application or revoke your membership qualification without any compensation or refund of membership service fees.
5.3 Restrictions on membership account use: Membership services are limited to use by the account for which you applied. During the membership service period, you may not transfer your Miaobo account, and gifting, lending, renting, transferring, or selling is prohibited. Otherwise, Miaobo has the right to cancel membership service qualifications of transferred or receiving accounts without notice, and losses arising therefrom shall be borne by you.
5.4 Membership service term: From the time you successfully purchase Miaobo membership benefits, you shall enjoy corresponding services according to the valid duration of the purchased membership benefits package. The agreement service automatically ends on the last day of the purchased validity period. The specific date shall be based on valid records of purchase and successful payment. The term shall not be extended due to non-use or similar circumstances.
5.5 Fees and payment:
(1) Miaobo membership services are paid services. You may complete payment of membership fees through payment methods actually supported by Miaobo. Please note that all payment methods may involve certain commercial risks (such as unlawful use of your account by bad actors). Such risks may cause corresponding economic losses to you, and you shall bear all losses on your own.
(2) Membership services are online goods/services provided on a pay-first, service-later basis. Membership fees are the price of the online goods corresponding to the membership services purchased by you, rather than prepayments, deposits, earnest money, stored-value cards, or similar amounts. Once membership services are activated, they are non-transferable and non-refundable (except where membership services have material defects that render them completely unusable, otherwise provided in this Agreement, refunds are required by laws and regulations, or Miaobo agrees to refund).
(3) Miaobo hereby specially reminds you that before purchasing membership services (including auto-renewal services), you should carefully verify account information, purchased service content, price, service term, and other information.
5.6 Changes to fees and payment methods: Membership service fees (including auto-renewal) shall be independently determined by Miaobo after comprehensive consideration of operating costs, operating strategies, and other factors (including but not limited to different fee standards for different membership tiers and possible future fee adjustments), and shall be displayed on relevant product service promotion and payment pages. If relevant fee methods change when you purchase or renew, the fee methods actually supported by Miaobo shall prevail. If prices of relevant services are adjusted, the currently effective prices published on the Miaobo platform shall prevail. Your continued actions (including but not limited to clicking agree, continuing to purchase, completing payment, or similar conduct) shall be deemed acknowledgment and acceptance of the changed fee methods and fee standards.
5.7 Changes to membership benefits: Miaobo may make partial modifications to membership benefits based on changes in laws, regulations, and policies or its own operating strategies. Miaobo will publish such changes through relevant service pages, in-app messages, or other reasonable means, and they shall take effect from the date of publication. After publication, your continued actions (including but not limited to clicking agree, continuing to purchase, completing payment, or using membership services) shall be deemed acceptance of the foregoing changes.
5.8 Interruption and termination of services:
(1) If force majeure events beyond Miaobo's control occur, such as government actions, natural disasters, epidemics, war, or cyberattacks, causing membership services to be unable to continue, Miaobo will notify you as soon as possible but shall not bear any losses caused to you and will not refund membership service fees.
(2) If you violate or are deemed to violate the contents of these service terms, Miaobo has the right to immediately terminate all membership services you have purchased and cancel your Miaobo membership account and usage permissions without notice, but will not refund any membership service fees you have paid.
6. Third-Party Products or Services
6.1 When you use products or services provided by third parties within this service, please also comply with third-party user agreements and related rules. Disputes that may arise between you and third-party products or services are not our responsibility. Disputes, losses, or damages arising from third-party products, services, or technologies shall be resolved by you and the third party in accordance with relevant agreements.
6.2 When users use this product/service, this service may invoke third-party systems or support user use or access through third parties. Results of use or access are provided by such third parties (including but not limited to content accessed through third parties via personal centers, etc.). We do not guarantee the security, accuracy, effectiveness, or other uncertain risks of services and content provided through third parties. Any disputes and damages arising therefrom are unrelated to us, and we bear no liability.
6.3 You understand and agree that we have the right to use this product/service for commercial purposes, including but not limited to developing and using parts of this service to promote third parties. However, this does not mean that we bear any legal liability for third-party products or services. We undertake to strictly comply with this Agreement during promotion.
6.4 You may choose to use your third-party payment account for payment in Miaobo. You understand and confirm that such payment services are provided to users by qualified third parties. In addition to being bound by this Agreement, they are also subject to the terms and policies of the third-party payment service provider and financial institutions. Conditions and specifications for use of such payment services shall be determined by you and the payment service provider.
7. Protection of User Personal Information
7.1 Protecting users' personal information is one of our basic principles. We will take reasonable measures to protect users' personal information. Except as provided by laws and regulations, we will not disclose users' personal information to third parties without user permission.
7.2 In applying for this service, you need to fill in certain necessary information. Please keep such information true, accurate, lawful, valid, and updated in a timely manner so that we can provide you with timely and effective assistance or better serve you. In accordance with applicable laws, regulations, and policies, please provide true identity information. If the information you provide is incomplete or inaccurate, you may be unable to use this service or may be restricted during use.
7.3 In general, you may browse and modify information you submit at any time. However, for security and identity verification reasons (such as account appeal services), you may be unable to modify initial registration information and other verification information provided at registration.
7.4 We will use various security technologies and procedures and establish a comprehensive management system to protect your personal information from unauthorized access, use, or disclosure.

8. Intellectual Property
8.1 We reserve complete and indivisible ownership, intellectual property rights, and/or other lawful rights and interests in the following content and information (including but not limited to):
(1) Miaobo services and all their elements, including but not limited to all content, data, technology, software, code, user interfaces, trademarks, logos, and other commercial identifiers and any derivative works related thereto;
(2) Any information and feedback provided by users to Miaobo services in connection with such services.
8.2 Without our consent or unless otherwise expressly agreed in this Agreement, the foregoing materials may not be directly or indirectly published or played in any media, rewritten or reissued for the purpose of playing or publishing, or used for any other commercial purpose. We shall not, in any form, bear legal or economic liability to users or any third party for delays, inaccuracies, errors, omissions arising from or in connection with transmission or delivery of all or part of the foregoing materials, or any damages arising therefrom.
8.3 All rights in any software used by Miaobo services to provide network services (including but not limited to any images, photos, animations, videos, recordings, music, text, and additional programs contained in the software, and accompanying help materials) belong to the copyright owner of such software. Without permission from the copyright owner of such software, users may not reverse engineer, reverse compile, or disassemble such software, or otherwise discover its original code, or engage in any conduct suspected of infringing copyright.
8.4 We provide technical support for the development and operation of Miaobo and enjoy all rights permitted by laws and regulations in all data and information generated during the development and operation of Miaobo.
8.5 Under no circumstances should you use without authorization any trademarks, service marks, trade names, domain names, website names, or other brand identifiers related to the Miaobo brand (collectively, "Marks"). Without our prior written consent, you may not display, use, or apply to register trademarks, domain names, etc. using the foregoing Marks individually or in combination in any manner, nor may you act in a manner that expressly or impliedly suggests to others that you have the right to display, use, or otherwise handle such Marks. If your violation of this Agreement in using Marks causes losses to us or others, you shall bear full legal liability.
8.6 During your use of Miaobo services, you may submit videos, audio, text, images, and other input content (collectively, "Input Content") to Miaobo services. Miaobo services generate images, videos, live streams, and other output/generated content (collectively, "Output Content") in response to your Input Content. Specific types of Input Content and Output Content are subject to actual product functions. You understand and undertake that Input Content and content you publish while using Miaobo services, including but not limited to text, images, videos, audio, and all components such as music, sound, lines, visual design, and dialogue, are originally created by you or have been lawfully authorized, and do not contain any content that violates laws and regulations, infringes others' lawful rights and interests (including but not limited to intellectual property rights such as copyrights, patent rights, and trademark rights, as well as personality rights, personal information rights, and other rights), or violates public order and good customs. To the extent permitted by laws and regulations and unless otherwise agreed in this Agreement, intellectual property rights and other property rights (if any) in Output Content generated through your use of Miaobo services belong to you. However, if Input Content and/or Output Content itself contains content in which we or other entities enjoy intellectual property rights or other lawful rights and interests, the corresponding rights and/or interests in such Input Content and/or Output Content remain enjoyed by us or relevant rights holders. Intellectual property rights in content uploaded and published by you through Miaobo services belong to you or the original copyright owner, unless otherwise provided in this Agreement.
8.7 Any unauthorized acquisition without our written consent and permission from rights holders constitutes unlawful infringement. You confirm and agree that, to promptly and effectively protect your lawful rights and interests under this service, you specially authorize us that, when we discover that your lawful rights and interests (including but not limited to rights of communication through information networks and copyrights) may be infringed, we have the right to take legal measures against suspected infringing third parties in our own name or by entrusting professional third-party institutions on your behalf. Remedial measures specially authorized include but are not limited to infringement monitoring, warning letters, administrative reports, filing lawsuits, applying for arbitration, referral to investigative authorities, mediation, and settlement. At the same time, please note that the foregoing authorization to us does not mean that any profit-sharing mechanism exists between us and you.
8.8 You understand and agree that, in order to continuously improve the services we provide to you, unless proven otherwise, your uploading, publishing, generating, or transmitting content through this service represents that you have the right to and agree to grant us and our affiliates, worldwide, permanently, irrevocably, and free of charge, for all our products or services, the rights to store, use, publish, copy, modify, adapt, publish, translate, create derivative works based on, disseminate, perform, and display such content for promotional purposes to demonstrate the content, features, and value of Miaobo products and services.
8.9 To continuously improve the services Miaobo provides to you, you understand and agree that, with respect to Input Content, Output Content, and all information content you publish through Miaobo (collectively, "Information Content"), you grant us a free, sublicensable and re-licensable, worldwide, non-exclusive, perpetual, and transferable right to use such content to provide services to you under this Agreement, optimize our products, services, and models, and ensure service security and stability.
8.10 You understand and agree that Miaobo has many users. When different users use Miaobo services with the same or similar Input Content, or in other circumstances, Output Content generated by Miaobo services may involve conflicting rights. You understand and agree that under no circumstances may you make any rights claim against Output Content or published content created by other users of our services based on rights and interests you claim in Output Content or published content generated through Miaobo services.
8.11 Intellectual property rights in content contained in this service are protected by law. Without written permission from us, users, or relevant rights holders, no one may use such content in any form or create related derivative works.
9. Terms for Minors
9.1 If you are a minor under the age of 18, you shall carefully read this Agreement under the guidance of your guardian and may use this service only after your guardian agrees to this Agreement.
9.2 We attach importance to the protection of minors' personal information and privacy. We specially remind you to strengthen protection awareness when filling in minors' personal information and to use and publish content containing minors' materials with caution. You shall obtain all lawful authorization and consent for use and display of minors' portraits, voices, and other information, and permit us to use and process such content relating to minors in accordance with this Agreement. If relevant content infringes minors' rights, we have the right to handle relevant content upon receiving notice from rights holders or based on other considerations to protect minors' lawful rights and interests, and may notify you depending on circumstances.
9.3 We will work together with guardians to protect minors' physical and mental health. If you are a guardian, you should also fulfill guardianship duties for minors, pay attention to minors' network security, and guide minors to use the network reasonably and healthily. Minors should, under the supervision and guidance of their guardians, learn to use the network correctly within a reasonable scope, develop good Internet habits, and avoid addiction to virtual online spaces.
9.4 Adolescent users must comply with the National Convention on Civilized Internet Use for Youth:
(1) Be good at online learning and do not browse harmful information;
(2) Communicate honestly and amicably and do not insult or defraud others;
(3) Enhance self-protection awareness and do not casually meet online friends;
(4) Maintain network security and do not disrupt network order;
(5) Benefit physical and mental health and do not indulge in virtual time and space.
9.5 Special notice to guardians
(1) If your ward uses Miaobo services, you as guardian should guide and supervise the ward's registration and use conduct. If your ward applies to register or log in to our account, we have the right to deem that your consent has been obtained.
(2) Your ward may use recharge and other functions when using Miaobo services. As guardian, please safeguard your payment devices, payment accounts, payment passwords, and similar information to prevent your ward from using recharge and other functions through your Miaobo account without your consent.
10. Service Fees
10.1 We have invested substantial costs in Miaobo services. Miaobo services may include free services and paid services. Specific details are subject to display on relevant service pages. You may choose corresponding services according to your needs.
10.2 You agree and understand that we may modify and change point rules, fee standards, and payment methods for paid services based on actual needs. Before such modifications, changes, or commencement of charging, Miaobo services will provide notice or announcements on relevant service pages. If you do not agree to such modifications, changes, or paid content, you should stop using the service.
10.3 Certain functions of Miaobo services may operate on a point consumption mechanism. You will use creation functions through means including but not limited to earning points for free through tasks and purchasing points. Specific point usage rules, billing methods, fee standards, and payment methods are subject to what is provided by the platform and details on relevant pages.
10.4 In accordance with national laws and regulations, income, rewards, benefits, or similar amounts (if any) you generate in Miaobo products may require payment of relevant taxes or tax filing. You understand and agree that when we withhold taxes or handle tax filing on your behalf as required by tax authorities, we may need to collect or use your personal information and tax-related materials. You should cooperate with us in fulfilling tax obligations.
11. Complaint Handling
11.1 If you discover any conduct or content that violates laws and regulations, this Agreement, or this service, you may complain or report to us through the feedback channels we publish. We will promptly accept and handle such complaints to jointly foster a clean and healthy online environment.
11.2 If you discover any content in Miaobo services that infringes your rights, you may notify us by sending a notice letter. We will promptly handle your complaint in accordance with applicable laws. 11.3 Please be sure to submit a rights notice to us in accordance with legal requirements. A rights notice must include:
(1) Contact information of the rights holder, including name, copy of ID card or passport (for natural persons), copy of business license certificate (for entities, with official seal), mailing address, telephone number, and email;
(2) Proof materials demonstrating the rights holder's entitlement to the rights;
(3) Information sufficient to locate the allegedly infringing content on the information network (such as specifying the source of reported infringing content, i.e., web address or location within a web page);
(4) A full and accurate description of which lawful rights and interests have been infringed, together with preliminary proof materials constituting infringement of the rights holder's lawful rights and interests;
(5) The following statement regarding the truthfulness of the notice content: "I am the lawful rights holder of the content being complained of; the content I am complaining of infringes my corresponding lawful rights and interests. I confirm that if the contents of this rights notice are not entirely true, I will bear all legal liabilities arising therefrom.";
(6) The following statement: "I guarantee that the information stated in this notice is sufficient, true, and accurate, that I am the lawful rights holder of the content being complained of, or that I have been authorized and have the right to file this complaint for rights protection.";
(7) Please sign the document. If you are a legally established institution or organization, please affix your official seal.
12. Breach Handling
12.1 If you engage in any conduct that violates national laws and regulations or regulatory policies, violates this Agreement including Platform Rules, or damages our or our affiliates' reputation, we have the right to take one or more of the following measures. We shall not be liable for adverse consequences such as your inability to normally use relevant services or obtain other rights and interests. We have the right not to restore deleted user information or content.
(1) Issue warnings to you and require correction;
(2) Refuse to publish content you create or immediately stop transmitting information;
(3) Delete or block relevant links/content or prohibit publication of content;
(4) Restrict/cancel some or all of your account permissions/functions, ban your account, or terminate services;
(5) Fees you have recharged will not be refunded, or you will not receive any compensation/indemnification;
(6) Other remedial measures provided by laws and regulations.
12.2 We have the right to announce handling results and, based on actual circumstances, decide whether to restore use of relevant accounts. For conduct suspected of violating laws or constituting crimes, we will preserve relevant records and have the right to report to relevant competent authorities and cooperate with investigations as required by law.
12.3 We respect and protect the intellectual property rights, reputation rights, name rights, privacy rights, and other lawful rights and interests of users and others. If you infringe any third party's intellectual property rights, reputation rights, name rights, privacy rights, or other rights and lawful interests, causing third parties to complain, report, or seek rights protection through litigation or similar means, we have the right to take necessary measures as required by laws and regulations. If your conduct causes us to compensate any third party, suffer penalties from state authorities, or suffer other economic losses or loss of goodwill, you shall compensate us for all losses suffered thereby.
12.4 If you participate in prize activities we hold by improper or fraudulent means, we have the right to restrict or cancel your eligibility to participate, cancel or withdraw rewards. If you have already received rewards, we have the right to require you to return the prizes or cash of equivalent value.
13. Disclaimer
13.1 Given the special nature of network services, you agree that Miaobo services may change, interrupt, or terminate part or all network services at any time. If changed, interrupted, or terminated network services are free network services, Miaobo services need not notify users and need not bear any liability to you or any third party.
13.2 You understand that Miaobo services need to regularly or irregularly inspect or maintain platforms or related equipment providing network services. If paid network services are interrupted for a reasonable period due to such circumstances, we need not bear any liability therefor, but we will provide advance notice whenever possible.
13.3 Miaobo services may change this service or delete part of its functions at any time for any reason, and may cancel or terminate services to users at any time without reason or notice. Once services are canceled, your right to use this service terminates immediately. Once this service is canceled or terminated, any information you stored in this service may not be recoverable.
13.4 Miaobo services do not guarantee (including but not limited to):
(1) That this service fully meets users' usage requirements;
(2) That this service is uninterrupted, timely, secure, reliable, or error-free, or that any products, services, or other materials obtained through this service meet users' expectations;
(3) That any materials obtained through this service are used at your own risk; if such use causes damage to your device system or loss of data, you shall bear full responsibility.
13.5 We shall not bear any direct or indirect compensation for loss of profits, business reputation, data, or other tangible or intangible losses caused by the following reasons:
(1) Use or inability to use this service;
(2) Any products, materials, or services purchased or obtained through this service;
(3) Unauthorized use or modification of your data; and other matters related to this service.
13.6 Disputes or losses arising from your authorization of third parties (including third-party applications) to access/use this service shall be borne by you.
13.7 We will provide corresponding services to you according to the service type you choose. You understand and agree that, based on comprehensive factors such as user experience, Miaobo service operational security, platform rules, and healthy development, we have the right to choose objects to whom we provide services or with whom we cooperate, decide objects and scope of function opening, data interfaces, and related data disclosure, and have the right to suspend or terminate provision of this service to users with circumstances including but not limited to the following, depending on specific circumstances:
(1) Violation of laws and regulations or this Agreement;
(2) Adverse impact on user experience;
(3) Existence of security risks;
(4) Violation of operating principles of this service or non-compliance with our other management requirements.
13.8 You understand and agree that the Miaobo platform will make every effort to enrich services and content available on the platform. However, due to the nature of services and content themselves, policy adjustments, or copyright changes, the Miaobo platform has the right to suspend or terminate part of its services and change or remove part of its content. The Miaobo platform need not provide prior notice or separate notice; details shall be subject to the latest display on the Miaobo platform. You will be unable to edit or use content that has been changed or removed again on the Miaobo platform. Creative deliverables you downloaded before content was changed or removed may be used permanently, but your foregoing use and sharing shall still comply with this Agreement. For inability to enjoy rights due to the foregoing reasons, the Miaobo platform bears no liability and need not refund fees already collected.
13.9 If any of the following circumstances occurs, we may terminate this Agreement with you at any time without prior notice:
(1) You violate national laws and regulations;
(2) You violate Platform Rules and/or this Agreement and/or other terms of agreements reached between you and us;
(3) Your conduct directly or indirectly causes material damage to our interests;
(4) Due to our business adjustments, we no longer conduct Miaobo service business.
13.10 If this Agreement is terminated for any reason, we may retain or delete all data in your account or any information stored on our servers due to your use of this service.
13.11 Special notice on use of AI functions:
(1) To ensure high-quality processing results, we will transmit Input Content you actively select or upload back to the server for processing. Some functions require analysis and processing of materials containing faces and voices. Please rest assured that such materials are used only to achieve effects such as creating digital human avatars and voices. We may extract or store your facial recognition features and voiceprint features, and the analysis and processing process will adopt secure encryption measures.
(2) You acknowledge and undertake that, when using Miaobo, you shall respect privacy and ethics and pay attention to data security. You may not input or share any unauthorized personal information, confidential information (including but not limited to trade secrets), or other unauthorized types of information. You shall respect the lawful rights and interests of others and ensure that your input content is lawful and compliant and is owned by you or has been lawfully authorized. You may not input or share any unauthorized content or infringe others' copyrights, patent rights, trademark rights, portrait rights, name rights, voice rights, reputation rights, honor rights, or other rights and interests. You may not use Miaobo for illegal activities or publish unlawful content, nor use new technologies and applications such as deep learning, virtual reality, and generative artificial intelligence to create, publish, or disseminate false news or information.
(3) Some functions of Miaobo services may involve generative and deep synthesis artificial intelligence. Given the limitations of current science and technology and the nature of artificial intelligence, we cannot guarantee the truthfulness, accuracy, or reliability of Output Content.
(4) We make no guarantee regarding Output Content. You shall make objective and prudent judgments and verifications of Output Content on your own. Any judgments you make based on Output Content or subsequent related operations, and all consequences and liabilities arising therefrom (including but not limited to risks arising from your judgments regarding truthfulness, accuracy, reliability, or non-infringement of Output Content), shall be borne by you alone.
(5) We recommend that, before taking any action based on Output Content, you seriously consider seeking further advice from professionals, especially regarding matters that may have significant impact on you or related parties, such as health, medical care, finance, investment, and insurance.
(6) Generative and deep synthesis artificial intelligence can bring current and potential positive effects to society. However, due to technical limitations or ethical issues, we are also highly concerned about the possibility of model misuse. We hereby remind you that, by choosing and using Miaobo, you fully acknowledge and agree that:
(7) We attach importance to the protection of minors' personal information and privacy. We specially remind you to use and publish content containing minors' materials with caution. You shall obtain all lawful authorization and consent for use and display of minors' portraits, voices, and other information, and permit us to use and process such content relating to minors in accordance with this notice. If relevant content infringes minors' rights, we have the right to handle relevant content upon receiving notice from rights holders or based on other considerations to protect minors' lawful rights and interests, and may notify you depending on circumstances.
(8) Miaobo products and services are provided based on existing technology and conditions. Although we have made our best efforts to ensure continuity and security of functional services, due to limitations of current science and technology, we cannot ensure that services provided are flawless, nor can we foresee and guard against legal, technical, and other risks at all times. Therefore, under no circumstances shall we be liable for any direct, indirect, consequential, punitive, incidental, special, exemplary, or disciplinary damages, including but not limited to losses suffered due to your use of Miaobo functional services or any conduct you take in reliance on Output Content. Unless otherwise expressly provided by laws and regulations, our total liability to you, regardless of cause or form of conduct, shall at all times be limited to fees (if any) paid by you to us during your use of Miaobo.
(9) Output Content from models does not represent Miaobo's attitude, views, or positions. Due to technical limitations, Output Content may be unreasonable, defective, or have other issues. If you have any questions or need assistance, we welcome and appreciate your contacting us at any time.
13.12 We obtain the right to review and handle unlawful and non-compliant content in accordance with laws and regulations, this Agreement, and Platform Rules, but such right does not constitute our obligation or commitment. We cannot guarantee timely discovery of unlawful conduct or corresponding handling.
13.13 You understand and agree that Miaobo and services we provide are offered based on existing technology and conditions. We make no express or implied guarantee regarding the following circumstances:
(1) That Miaobo and services fully meet your usage requirements, suit particular purposes, or that any products, services, or other information obtained through us meet your expectations;
(2) That Miaobo and services are uninterrupted, timely, secure, reliable, error-free, or permanently available;
(3) That any errors in Miaobo and services will be corrected;
(4) That you face no risks during use of Miaobo and services.
13.14 We will make our best efforts to ensure continuity and security of services, but Miaobo and services may be affected or interfered with by multiple factors. You understand and agree that we shall be exempt from liability for service suspension, discontinuation, termination, or any losses caused by the following circumstances to the extent permitted by laws and regulations:
(1) Force majeure and other factors, including but not limited to government actions, natural disasters (such as floods, earthquakes, typhoons, etc.), war, strikes, riots, epidemics, etc.;
(2) Factors beyond our control, such as power failures, communication network failures, hacker attacks, malicious program attacks, viruses, third-party service defects, and changes in live streaming platform policies or rules;
(3) Inspection, maintenance, upgrade, or servicing of relevant systems or equipment for Miaobo and services. We will make our best efforts to notify you in advance in such circumstances.
13.15 We obtain the right to review and handle unlawful and non-compliant content in accordance with laws and regulations, this Agreement, and Platform Rules, but such right does not constitute our obligation or commitment. We cannot guarantee timely discovery of unlawful conduct or corresponding handling.
13.16 This Agreement is intended to ensure compliance with national laws and regulations, maintain public order and good customs, and protect the lawful rights and interests of users and others. We will make our best efforts within our capabilities to make judgments in accordance with relevant laws and regulations, but we do not guarantee that our judgments will fully align with those of judicial or administrative authorities.
13.17 Unless otherwise expressly agreed or promised by us, we do not guarantee that Miaobo is lawful and appropriate in all jurisdictions outside official release. If you use Miaobo in jurisdictions outside official release, you confirm that such use is your own voluntary choice. You shall ensure that your use of Miaobo complies with all applicable local laws and bear corresponding risks and liabilities on your own.
14. Miscellaneous
14.1 This Agreement takes effect upon publication. We have the right to modify the contents of this Agreement at any time. If you do not agree to modifications made to relevant provisions of this Agreement, you have the right to stop using network services. If you continue to use network services, you are deemed to accept modifications we make to relevant provisions of this Agreement. If you do not accept the modified agreement, you should stop using this software.
14.2 Our notices to you may be delivered through one or more means including but not limited to system prompts, page pop-ups or prompts, announcements, in-app messages, and SMS. You should maintain contact availability and review such notices in a timely manner.
14.3 The place of signing of this Agreement is Haidian District, Beijing, People's Republic of China.
14.4 Headings before each provision of this Agreement are provided only to help you understand the main purpose expressed by the provision and do not affect or limit the meaning or interpretation of the provisions of this Agreement. To protect your own rights and interests, we recommend that you carefully read the specific wording of each provision.
14.5 The formation, execution, and interpretation of this Agreement and resolution of disputes shall be governed by the laws of China and subject to the jurisdiction of Chinese courts. If any dispute arises between the parties regarding the content or execution of this Agreement, the parties shall endeavor to resolve it through friendly negotiation. If negotiation fails, either party may bring a lawsuit before a people's court with jurisdiction at the place of signing of this Agreement.
14.6 This Agreement constitutes the complete agreement between the parties regarding the matters agreed herein and other related matters. Except as provided in this Agreement, no other rights are granted to the parties hereto.
14.7 You agree that if we fail to enforce or exercise any statutory rights or remedies contained in this Agreement (or to which we are entitled under any applicable law), this shall not be deemed a formal waiver of such rights, and such rights or remedies shall remain effective against us.
14.8 If any provision of this Agreement is wholly or partially invalid or unenforceable for any reason, the remaining provisions shall remain valid and binding.
